Terms of service
These terms govern your organisation's use of the KENAEZ platform, the edge node software and related services (the Service) provided by Echo Thirteen Capital Ltd, trading as KENAEZ (KENAEZ, we, us). By creating an organisation, accepting an invitation or buying a licence, you agree to them on behalf of your organisation (you). If you do not have authority to bind your organisation, do not use the Service.
The Service is for business use. It is not offered to consumers.
1. Accounts
- Accounts are created by invitation. Your organisation's owners and administrators decide who has access, at what role, and to which sites, and are responsible for keeping that list current.
- Each person must use their own account. Keep passwords and emailed sign-in codes private, and tell us at once if you suspect an account has been compromised.
- You are responsible for everything done under your organisation's accounts, including through guest shares, WhatsApp connections and MCP tokens you create.
2. The Service
The Service includes live view, detection modules, Retrace, GPS tracker monitoring, the AI assistant and the other features described on our website. We may improve, change or retire features, but we will not materially reduce the core functionality of a licence you have paid for during its current billing period. Features we describe as rolling out, early access or preview are provided as they are and may change.
3. Trials, licences and payment
- Trials. A first purchase starts with a 14-day trial. We take a card at checkout and charge nothing until the trial ends. We email you before it ends; cancel before then and you pay nothing.
- Licences. Detection modules are licensed per camera per month at the prices on our pricing page. A module runs on no more cameras than you have licensed it for. Licences start once payment is confirmed.
- Minimum. A first subscription must total at least £10 a month. Later additions have no minimum.
- AI credits. Each licence includes a monthly AI credit allowance. Use above the allowance is charged at 0.4p per credit. You can set a monthly budget cap, which pauses AI analysis when reached.
- Billing. Subscriptions are billed monthly in advance by card through Stripe. Changes mid-period are prorated. Prices are in pounds sterling; we are not currently VAT-registered, so no VAT is added. If we become VAT-registered, VAT will be added at the applicable rate.
- Non-payment. If a payment fails and is not resolved, we may suspend licensed features until it is. Live view and your data are not affected by suspension.
- Price changes. We will give at least 30 days' notice of a price increase, which takes effect from your next billing period after the notice ends.
4. Your responsibilities
You decide what the Service is used for, and you are the controller of the personal data it processes for you. In particular, you are responsible for:
- having a lawful basis for your surveillance, carrying out any required data protection impact assessment, and displaying appropriate signage, including for ANPR;
- informing people who carry GPS trackers, and anyone who manages them, how their location is used;
- recording a lawful basis for special category data before switching on apparent demographic attributes;
- making sure you have the right to connect each camera, tracker and site computer to the Service;
- responding to requests from people whose data you control, with our help under the data processing agreement;
- following our acceptable use policy.
5. What the Service is not
KENAEZ helps people notice and respond to events. It does not guarantee that any event will be detected, and AI analysis can be wrong. In particular:
- smoke and fire detection is supplementary and is not a fire alarm system;
- water detection is not a substitute for leak-detection or flood sensors;
- weapons, altercation and vaping modules flag moments for human review and never give a verdict;
- GPS trackers, SOS alarms and separation alerts depend on mobile networks, GPS signal and battery, and do not guarantee anyone's safety;
- the Service is not an emergency service and does not replace calling the emergency services, trained security staff or your duty of care.
You must not rely on the Service as the only safeguard against risks to life, health or property.
6. Your data
You own the data you put into the Service. You grant us the rights we need to host, process and transmit it to provide the Service, as set out in the data processing agreement. You can export your data while your account is open. When your organisation closes its account, we delete its data 30 days later, except where we must keep records by law.
7. Our intellectual property
We own the Service, including the platform, the edge node software, our models' configuration and our documentation. We grant you a non-exclusive, non-transferable right to use the Service during your subscription. The edge node software is also subject to the edge node licence. If you send us feedback, we may use it freely.
8. Third-party services
Some features connect to services you choose, such as your own AI provider, your WhatsApp Business account or your mobile network operator. Your use of those services is governed by their terms, and we are not responsible for them.
9. Confidentiality
Each of us will keep the other's confidential information confidential and use it only for the purposes of these terms, except where disclosure is required by law.
10. Suspension and termination
- You can cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
- We may suspend or terminate access immediately if you materially breach these terms or the acceptable use policy, if required by law, or to protect the Service or others. Where it is reasonable to do so, we will warn you first and give you a chance to put things right.
11. Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
- Subject to that, neither of us is liable for indirect or consequential loss, or for loss of profit, revenue, business or goodwill.
- Subject to that, each party's total liability arising out of or in connection with these terms in any 12-month period is limited to the fees paid and payable by you for the Service in that period.
12. Changes to these terms
We may update these terms. We will give at least 30 days' notice of material changes by email or in the Service. If you do not agree, you may cancel before they take effect.
13. General
These terms, with the documents they refer to, are the whole agreement between us about the Service. If any part is found unenforceable, the rest remains in force. Neither of us may transfer our rights without the other's consent, except that we may transfer them as part of a sale or reorganisation of our business. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
